Who we are
Agent Factory is operated by Ylambda Tech LLC, a limited liability company based in San Diego, California, United States ("we," "us," or "our"). These terms govern use of this website and the consulting services we provide.
Services and proposals
We provide AI workflow consulting, implementation, training, and related professional software services. The scope, deliverables, timing, and fees for an engagement are set out in a written proposal or statement of work agreed with you. If that proposal conflicts with these terms, the proposal controls for the engagement.
How engagements begin
Most work begins with a short scoping conversation followed by a written proposal. Work begins after the proposal is approved. Changes to scope are agreed in writing before additional work is performed.
Fees and payment
Depending on the engagement, we may bill a fixed project fee, an hourly rate, or a monthly advisory fee. Fees are stated in US dollars and exclude applicable taxes. Invoices are handled securely through Stripe and are due in the period stated on the invoice.
Intellectual property
After full payment, you own custom deliverables created specifically for your engagement. We retain our pre-existing materials, tools, libraries, and general know-how and grant the rights needed to use them when embedded in a deliverable. Third-party and open-source components keep their respective licenses.
Confidentiality
Each party will protect the other party's non-public business and technical information and use it only for the engagement. This does not cover information that becomes public through no fault of the receiving party or must be disclosed by law.
Website tools and educational content
The free lessons and AI audit are general educational resources. Audit results are directional and are not a promise of savings, performance, legal compliance, or suitability for a particular workflow. You remain responsible for business decisions and for reviewing AI-assisted work.
Warranties and liability
We perform services in a professional and workmanlike manner. Unless a proposal states otherwise, services and deliverables are provided as is, without a guarantee that software will be error-free or that a particular business result will occur. To the maximum extent permitted by law, total liability for an engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential losses.
Ending an engagement
Either party may end an engagement with written notice. You are responsible for work completed and approved non-cancellable costs through the effective date. Terms that naturally continue—including intellectual property, confidentiality, disclaimers, and liability limits—survive termination.
Governing law and contact
These terms are governed by California law, and disputes are subject to the state and federal courts in San Diego County. Questions can be sent to contact@ylambda.com.
